1.Introduction
These Terms of Service (the “Terms”) form a binding agreement between you and MigraTeck LLC (“MigraTeck,” “we,” “us,” or “our”). They govern your access to and use of AnnouPale, Pale, and our related websites, mobile and desktop applications, and online services (together, the “Services”).
By creating an account, accessing, or using the Services, you agree to these Terms and to our Privacy Policy and Community Guidelines, which are incorporated by reference. If you do not agree, do not use the Services.
Some features are governed by additional terms, including our Live, Voice & Messaging Terms and, where applicable, our Creator, Business & Marketplace Terms. Where supplemental terms conflict with these Terms, the supplemental terms control for that feature.
2.Eligibility
You must be at least 13 years old to use the Services. The Services are not directed to and may not be used by children under 13. See our Children & Age Policy.
If you are a teenager who meets the minimum age, your use is subject to the laws of your country or region, and where required by law you must have the consent and involvement of a parent or legal guardian. Some regions set a higher minimum age for certain features; you are responsible for using the Services only where you are legally permitted to do so.
By using the Services, you represent that you meet these eligibility requirements and that you are not barred from using the Services under any applicable law.
3.Account registration and security
To use most features you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. We may require verification of your phone number or email address.
- You are responsible for all activity that occurs under your account.
- Keep your credentials and verification codes confidential. We will never ask you for your one-time verification code.
- Notify us promptly at support@annoupale.com if you suspect unauthorized use of your account.
- Do not share, sell, or transfer your account, and do not create an account using someone else’s identity or information.
- Keep your recovery options (such as your phone number or email) current so you can regain access if you are locked out. We may offer account-recovery and security features to help protect and restore access to your account.
4.Acceptable use
You agree to follow our Community Guidelines and not to misuse the Services. Among other things, you may not:
- Harass, bully, threaten, defame, or incite violence against any person or group, or engage in hate speech;
- Sexually exploit or endanger any person, or share child sexual abuse material — which we report to the appropriate authorities;
- Impersonate any person or organization, or misrepresent your affiliation;
- Engage in fraud, scams, spam, deceptive promotions, or coordinated inauthentic behavior;
- Upload malware, attempt to gain unauthorized access, probe or test the vulnerability of the Services, or interfere with their operation;
- Scrape, crawl, or harvest data, or use bots or automated means except as we expressly permit;
- Evade enforcement actions, bans, or technical restrictions — including by creating new accounts to circumvent them;
- Violate any applicable law or the rights (including intellectual property and privacy rights) of others.
5.Your content
You retain ownership of the content you create and share through the Services (“User Content”). You are responsible for your User Content and for ensuring you have the rights necessary to share it.
You grant MigraTeck LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, distribute, adapt, translate, and otherwise process your User Content, solely as needed to operate, provide, secure, moderate, and improve the Services, and consistent with your visibility settings and our Privacy Policy. This license ends when your User Content is deleted, except where it has been shared with others who have not deleted it, or where we must retain it for safety, legal, or backup purposes.
We do not claim ownership of your User Content, and we will not use it to represent that a person endorses a product or service without consent.
6.Profiles, posts, groups, and communities
The Services let you create a profile, publish posts, and participate in groups and communities. Content visibility depends on the settings you choose — for example, public, followers-only, or private — and on the rules of any community you join.
If you create or administer a group or community, you are responsible for setting reasonable rules, moderating content within it, and complying with these Terms and our Community Guidelines. We may remove communities, or remove administrators, that repeatedly violate our policies.
7.Messaging and Pale
Pale provides private messaging between users. You agree to use messaging lawfully and not to send spam, harassment, threats, or prohibited content.
Private messages are not public. However, message content and metadata may be processed as needed to deliver messages, to operate safety and anti-abuse systems, to respond to user reports, and to comply with legal obligations, as described in our Privacy Policy and Live, Voice & Messaging Terms. When you report a message, you may share its contents with us for review.
8.Live rooms, voice, and video
The Services may include live audio and video rooms. Live sessions may be reviewed or monitored when reported, or when reasonably necessary for safety, security, or legal compliance.
- Do not record participants where recording without consent is prohibited by law. You are responsible for obtaining any consent the law requires.
- If we introduce recording, replay, or transcription features, we will provide notice and appropriate controls before they apply to you.
- Conduct in live rooms is subject to our Community Guidelines and Live, Voice & Messaging Terms.
9.Media uploads
You may upload images, video, audio, and documents. You represent that you own or have the necessary rights and permissions to upload and share that media and that it does not infringe anyone’s rights or violate any law.
We may scan, transcode, resize, or otherwise process media to operate the Services and enforce our policies, and we may remove or restrict media that violates these Terms, our Community Guidelines, or applicable law.
10.Safety and moderation
We use a combination of user reports, automated tools, and human review to enforce our policies. Depending on the situation we may remove content, limit features, restrict, suspend, or terminate accounts, remove communities, or report activity to authorities where legally required. Our enforcement and appeals processes are described in our Safety & Enforcement Policy.
We work to keep the Services safe, but we cannot guarantee that all harmful content or conduct will be detected or prevented. Use the in-app reporting tools to flag content or behavior that violates our policies.
11.Intellectual property
The Services — including the AnnouPale and Pale names, logos, software, designs, and other materials we provide — are owned by MigraTeck LLC or its licensors and are protected by intellectual-property laws. Except for the limited rights we grant you to use the Services, we reserve all rights.
You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of the Services, or use our brand assets, except as permitted by law or with our written permission.
12.Feedback
If you send us suggestions, ideas, or other feedback about the Services, you grant MigraTeck LLC a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation or compensation to you.
13.Paid features, business tools, marketplace, and ads
The Services may, now or in the future, include paid features, creator and business tools, a marketplace, or advertising. These features may not be available in all places or to all users.
When such features become available, additional terms — including pricing, billing, refunds, payouts, and acceptable-use rules — may apply through our Creator, Business & Marketplace Terms and any checkout disclosures presented at the time of purchase.
14.Third-party services
The Services rely on, and may link to or integrate with, third-party services such as hosting, real-time audio/video providers, analytics, communications providers, and (for future paid features) payment processors. We are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies.
15.Service availability
We aim to keep the Services available and reliable, but we do not guarantee uninterrupted, secure, or error-free operation. We may modify, suspend, or discontinue all or part of the Services at any time, and we may impose limits on certain features or restrict access without liability, to the extent permitted by law.
16.Termination
You may stop using the Services and delete your account at any time. See our Data Rights & Privacy Choices page for how to delete your account and content.
We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms or our policies, if required by law, or to protect the Services or other users. Sections that by their nature should survive termination — including content license grants you have given to others, intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution — will survive.
17.Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will meet your requirements or be uninterrupted, timely, secure, or error-free.
18.Limitation of liability
To the maximum extent permitted by law, MigraTeck LLC and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Services.
To the maximum extent permitted by law, our total liability for all claims relating to the Services is limited to the greater of the amount you paid us for the Services in the 12 months before the event giving rise to the claim, or [amount — e.g. US$100]. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
19.Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless MigraTeck LLC and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Services, or your violation of these Terms or applicable law.
20.Governing law and dispute resolution
These Terms are governed by the laws of the State of [MigraTeck LLC state of formation], without regard to its conflict-of-laws rules, except where mandatory local law applies to you.
The dispute-resolution approach below is a neutral placeholder pending review by licensed counsel. Depending on the final decision, it may include informal dispute resolution, venue selection, and/or binding arbitration with a class-action waiver, subject to applicable law and any non-waivable rights you have.
Before filing a formal claim, you agree to first contact us at legal@annoupale.com so we can try to resolve the matter informally. Any dispute that is not resolved will be subject to the venue and procedures specified in the finalized version of these Terms.
21.Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — for example, by posting the updated Terms with a new “Last updated” date or notifying you in the Services. Your continued use after the changes take effect means you accept the updated Terms.
